Vendor Agreement

Version 5 · Last updated October 31, 2026

Language. This document is also available in Spanish. If the two versions differ, this English version controls.

Effective date: October 31, 2026.

1. This agreement

This agreement is between you and Behind the Scenes with Chris LLC, a California limited liability company ("we" or "us"), which runs the Fawnzee app and website. It applies when you list a business on Fawnzee as a vendor. It adds to the Terms of Service, which also apply to you. "You" means the vendor business and the person who accepts this agreement for it. That person confirms they may accept it for the business.

  • Your account, your signature. Everything signed or sent from your account in the app (offers, changes and cancellations) counts as signed by you. Keep your sign-in private, and tell us right away at support@fawnzee.com if someone else used your account.
  • Language. When a booking involves Spanish, its contract includes our Spanish translation after the English, and the English version controls. Text you write, such as your notes, extras and additional terms, prints as you wrote it.

2. Your listing

  • You list only services you are allowed to provide, with the licenses, permits and insurance your category requires. The app shows which ones apply and may ask you for proof.
  • Your prices, packages and photos must be accurate and your own.
  • Your listing, photos and card headlines can't include your business name, phone number, email, website or social media accounts, and nothing you write to a client before the deposit is paid can include your contact details. Clients see your business name with your offer, and your contact details once the deposit is paid. Until then, the app hides them.
  • A person on our team approves your listing before it goes live, and a new or changed card headline shows to clients only after it's screened. Other changes you make to a live listing (your text, packages and photos) show right away, and we check them against our listing rules afterwards. You choose whether that review uses an automated AI check or is done by a person. The AI can't reject you: anything it flags goes to a person on our team. We may ask you to change something.
  • Owner tags. If you choose an owner tag (Latino-owned, Woman-owned or Veteran-owned), you confirm it is true of your business, and you'll turn it off if that changes. We don't verify tags. If someone reports a tag, we may ask you to confirm it, and we may remove it if you don't, or if we have good reason to believe it isn't true. Tags never change your place in results, your fee or any other decision we make.

3. Requests and offers

  • You receive requests whose budget fits your prices, or comes close to them, in your service area.
  • Your signed offer. When you sign an offer in the app, you make the client a binding offer to enter into the Event Services Agreement version named on the offer, on the offer's terms: its price, what's included, the dates, the deposit and balance schedule, the cancellation policy, your additional terms and anything else the offer shows. That agreement, which you can preview in the app before you sign, is part of your offer. If the client accepts by signing and paying in the app, the contract is formed on those terms, and your offer signature counts as your signature on it.
  • How long it binds you. Your offer stays open until the time shown on it (at most 7 days), until the client declines it, or until you withdraw it, whichever comes first. You promise us that you won't withdraw an offer while a client is checking out with it (the app blocks this for up to 30 minutes). If the client books it in that time, you're bound by it. Clients who book your offers may enforce this promise and the contract formed from your offer.
  • Which versions apply. A booking follows the versions in effect when you signed its offer: the version of this agreement you had accepted, the contract template version and the fee shown on the offer. A later version of this agreement or of the template doesn't change a booking, or an offer you already sent, unless the law requires it or you and the client both sign a change in the app.
  • Retired templates. If we retire a template version because it has an error or no longer meets the law, offers that name it can't be booked until you confirm them on the new version in the app. We'll tell you which offers are affected.
  • When a client books your offer, the event contract is between you and the client. We aren't a party to it.

4. Fees

  • Your commission. We charge you a commission on each booking, as a percentage of the booked price. It is taken from each payment as the client pays, in proportion to the price. Every offer shows the commission and what you'd receive before you send it.
  • Your rate. Your rate is 15% of the booked price, unless the app shows you a lower rate for your account before you send the offer. We may set a lower rate for your account, and the app shows it on your offers before it applies.
  • Founding vendors. If we give you the founding rate, your first 3 bookings at that rate are charged 7% instead of your usual rate. Bookings count toward your 3 when they're made, and a booking cancelled before the founding rate ends doesn't count. The founding rate ends once you have 3 bookings at it that aren't cancelled. Once it ends, it doesn't start again, even if one of those bookings is cancelled later. It has no end date unless we give you one in writing when we give you the rate. Offers you sent while it was on keep it, so you may end up with a few more than 3 bookings at 7%. We tell you in the app when it ends.
  • Your own clients (Bring your client, section 5). In your first 12 months, a booking from a client you invited is charged 5%, or a lower rate you already have. Your 12 months start on the later of the day your listing first went live and the day Fawnzee opened to clients. The Bring your client screen shows the day they start and their last day, and the app shows the last day when you make an offer to a client you invited. An offer you send by the end of that last day (Pacific time) keeps 5%, even if it's booked later. Offers you send after it use your usual rate: a founding rate that's still open applies to them as to any booking, and that booking counts toward your 3. A booking at the 5% rate doesn't count toward a founding rate's 3 bookings. We tell you 30 days before your 12 months end. Your invites keep working after that.
  • The rate is fixed on the offer. An offer carries the rate in effect when you sign it. That rate stays the same for that offer and its booking, even if the price changes later by a change you and the client sign. A later change to your rate never applies to an offer you already sent or to a booking.
  • Refunds and cancellations. If a booking is cancelled or partly refunded, we keep commission only on what you keep. If a refund is caused by you (your cancellation, including one we make as your cancellation under the booking's contract, a cancellation by agreement that you proposed, a Payment Protection report that ends in a refund to the client, whether we decide it for the client or the client accepts a refund you offered, or a card dispute lost because of you), or we cancel a booking because we suspended your account (section 7), you also pay a proportional share of the card processing fee on the refunded payment, never more than 2.9% + 30¢ of that payment. Otherwise, you don't pay card processing fees.
  • Changes. We may change your rate for new offers. A higher rate applies only to offers you send after the app shows it to you. Offers you already sent and your bookings never change. Your rate never goes above 15% unless you accept a new version of this agreement.
  • Clients pay no fee to us. The price in your offer is the price the client pays. Clients never see your rate.

5. Clients you meet on Fawnzee

A client you meet on Fawnzee is anyone whose request, question or booking reached you in the app, or a member of their event. It doesn't include clients you invite with Bring your client (below).

  • Before a booking, you won't ask a client you met on Fawnzee to pay you outside the app, and you won't share contact details to do so.
  • A booking started in the app is paid in the app. You won't ask for or accept payment for it any other way. Tips a client chooses to give at the event are voluntary and aren't part of the price.
  • This section doesn't limit your work with anyone else, on other platforms or through your own marketing, and it doesn't stop you from leaving Fawnzee.
  • If you break this section, we may limit or suspend your account under section 7. We never charge you a fee or a penalty for it.

Bring your client

You can invite a client you already have to book you through Fawnzee, with a contract, Payment Protection, and payments and reminders in the app.

  • When. You can create invites once Fawnzee is open to clients.
  • Only your own clients. You may invite only clients you had before Fawnzee or met outside it. Someone you met through Fawnzee, including anyone on an event that sent you a request in the app, is never your invited client, even from another account.
  • You share the invite. You create the invite in the app and share its link or code yourself, for example by text or WhatsApp. We never contact the person you invite, and the app never reads your contacts. The private label and the details you fill in are optional, only you see the label, and neither may include phone numbers, email addresses or other contact details.
  • Your client chooses. The person you invite sees your business name and photo and decides whether to book you through Fawnzee. We tell you when an invite is accepted. The client's name and the event's details reach you with their request, as for any request.
  • The rate applies only while these rules are met. The app checks again when the client sends the request and when you make the offer. If the client turns out to be you, another of your accounts or someone you met through Fawnzee, the reduced rate doesn't apply, and any offer on that request is at your usual rate.
  • Limits. Codes are single-use and good for 30 days. You can have up to 20 invites open at once and create up to 10 a day. Bookings from your invites don't count toward booking badges, established status or the public price pages.
  • Family, staff and partners. If you invite a relative, someone who works for you or a business partner, tell them to say so when they review you. Don't ask them for a review without telling them that.
  • Misuse. If we find that you invited someone who wasn't your own client, we may revoke your invites, turn invites off for your account and note it on your account. Rates already fixed on offers and bookings don't change.

6. Payments and payouts

(a) We collect payments as your agent. You appoint us, Behind the Scenes with Chris LLC, as your agent for one limited purpose: to receive payments from clients for your services booked through Fawnzee. As your agent, we may hold those payments as this agreement and the Payment Protection Policy describe, make the refunds that a booking's contract, its cancellation policy or a Payment Protection decision requires, keep our commission and the other amounts this agreement allows, and pay the rest to you. A client's payment to us is a payment to you: it satisfies and ends the client's obligation to you for the amount paid, as if the client had paid you directly, even before it is paid out to you. You won't ask a client to pay again any amount the client paid through Fawnzee. If we receive a client's payment and don't pay it to you as this agreement requires, your claim is against us, not the client. We may use Stripe to receive, hold and send these funds for us, and a payment Stripe receives for us counts as received by us. We're your agent only for these payments. We aren't a party to your contract with the client.

(b) When you're paid. You set up payouts in the app with Stripe, which checks your identity and bank account. Every payment for a booking, including the deposit, goes to your own Stripe account and stays in your Stripe balance until 48 hours after the event ends. Then it is paid out to your bank. It stays longer only for the reasons in this agreement: a Payment Protection report, an open card dispute, a review of the booking or your account by our team, a suspension (part (g)), or a hold or restriction Stripe places on your account. The Earnings screen shows each booking's payout date and why a payout is on hold.

(c) Refunds and reversals. When a booking is refunded under its contract, its cancellation policy or the Payment Protection Policy, you authorize us to take back from your Stripe balance the part of the refund that comes from your share, including by reversing the transfer to you.

(d) Card disputes. If a client disputes a payment with their bank, we answer the bank with the booking's records, and we may ask you for evidence. Payouts for that booking wait until the bank decides. If the bank decides for the client and we find the problem was yours (for example, you didn't show up), you owe the disputed amount from your share and the dispute fees, and we recover them as part (e) says. Otherwise we carry the loss.

(e) Amounts you owe. If money is refunded or lost in a card dispute because of something you did or didn't do, you owe us the refunded or lost amount from your share, the card processing fee section 4 puts on you, and any dispute fee. We never add a penalty. You authorize us to recover what you owe by: (1) taking it back from your Stripe balance; (2) keeping it from your future payouts; and (3) if your Stripe balance stays negative, having Stripe debit the bank account linked to your payouts. We tell you in the app when you owe an amount, with the booking and the amount.

(f) Limits. We hold or recover money only for the reasons in this section. Money held for you stays yours: we never keep it as a fee or a penalty. The limit on our liability in the Terms of Service doesn't apply to this money.

(g) If your account is suspended. While your account is suspended (section 7), the payouts of bookings that go ahead stay on hold until we reinstate your account or our team releases that booking's payout. Once a booking's payout date has passed, our team reviews its held payout, and a decision to keep it on hold is reviewed again at least every 30 days. This also applies if you delete your account while it is suspended. When the hold ends, what's held is paid out to you, less what you owe.

(h) Taxes. You are responsible for your own taxes. We file the 1099-K tax forms the law requires, through Stripe. A 1099-K shows the full amount clients paid, before our commission, refunds and card disputes. It names Behind the Scenes with Chris LLC as the filer.

7. Cancellations, your record and our reviews

If you cancel a booking. The client gets back everything they paid, and you pay the card processing fees on the refund (section 4). If the money was already paid out to you, or what's held for the booking isn't enough for the refund, we refund the client first and recover the amount as section 6 says. A cancellation because of force majeure, as we decide under the contract, isn't counted on your record. If you need to cancel because the client seriously broke the contract (for example threats, illegal requests or refusing you safe access), don't cancel in the app: write to us first at support@fawnzee.com. We decide from the evidence whether it counts as the client's cancellation. If it does, the contract's cancellation terms apply as if the client had cancelled, and it isn't on your record.

A substitute for a named lead performer. If the description of your services names a lead performer or artist who can't come, name the substitute on the booking in the app before the event, with a short note. The client who booked can accept or refuse there until the event starts; until they accept, the substitute isn't agreed. You can withdraw it until they answer. If they refuse, the booking is cancelled as your cancellation: the client gets back everything they paid, you pay the card processing fees on the refund (section 4), it goes on your record, and we help the client find someone else. If you tell the client another way instead, they can refuse by writing to us before the event, with the same result.

If the client doesn't pay the balance. When the client's balance is still unpaid 7 days before the event, the app lets you cancel for non-payment until the event starts. That cancellation counts as the client's: you keep what the client paid, up to what the cancellation policy keeps on that day, and it isn't on your record.

Approval. Your listing goes live after Stripe verifies your identity, your profile is complete and our team approves it. We use automated checks, and AI review if you choose it, to find problems. A person on our team makes every approval and every suspension decision. We decide on your listing and your conduct, never on your race, color, religion, sex, gender, sexual orientation, national origin, ancestry, disability, medical condition, genetic information, age, marital status, citizenship, primary language or immigration status (you must still be 18 or older, as the Terms of Service say).

Your record. These go on your record, and each counts for 12 months: a booking you cancel (including one cancelled as your cancellation under the contract, for example when the client refuses, in the app, your substitute for a named lead performer), and an event you miss when a Payment Protection report decides you didn't show up. With 2 on your record, our team reviews your account. With 3, your account may be suspended. A cancellation caused by our suspension of your account, by deleting your account, by force majeure or by the client (as above) doesn't count, and neither does a cancellation by agreement. Our team can remove an item that shouldn't count. The app shows your record.

Reviews of your account. Signals such as your record, client reports, card disputes or signs of payments outside the app open a review by a person on our team. No signal changes your account by itself.

Suspension. Only our team suspends an account, and we tell you the reason in the app. While you're suspended, your listing is hidden, your open requests and offers are withdrawn, and your payouts are on hold. For each upcoming booking we either keep it, so you still provide the service, or cancel it with a full refund to the client. You pay the card processing fee share on that refund (section 4), but a cancellation we make this way isn't on your record. A booking we keep goes ahead as planned: its balance is still charged on its date, and its payout follows section 6(g).

Asking for a review. You can ask us once, in the app, to review a suspension. To ask us to review any other decision in this section, write to support@fawnzee.com. We answer within 2 business days. If we suspended you by mistake, we restore your listing (our team screens it again if you changed it while suspended).

8. Clients' and guests' information

  • (a) "Client information" means anything about a client, their co-planners or their guests that you get through Fawnzee or because of a booking: names, phone numbers, emails, addresses (including event addresses), event details, messages, photos, and guest names or counts.
  • (b) You may use client information only to quote, plan and perform the booking it came with, and to keep records the law requires. You may not sell or rent it, share it with anyone who isn't helping you perform that booking, or add it to a marketing list, unless the client clearly agrees.
  • (c) If staff or subcontractors help you, give them only what they need and make sure they follow this section. You're responsible for what they do with it.
  • (d) Protect client information with reasonable care. Lock your phone and accounts. Don't post addresses, guest lists or children's names publicly. Keep any calendar where you put bookings private, including the Fawnzee calendar feed.
  • (e) When you no longer need client information for the booking, your records, taxes or a dispute, delete it.
  • (f) If client information is lost, stolen or seen by someone who shouldn't see it, tell us at support@fawnzee.com within 3 days and help us respond.
  • (g) This section keeps applying after this agreement ends.

9. Reviews

  • Clients can review you after an event, and you can rate them.
  • You may not offer anything in exchange for a review, ask only happy clients for reviews, or ask a client to remove a review.
  • Your response to a review must be about the booking. It can't include contact details or the client's private information, threaten legal action without a real basis, or accuse the client of something you know isn't true.
  • We take down a review, or part of one, only under the rules in our Terms of Service, never because it is negative or because you ask. Nothing in this agreement stops a client from posting an honest review anywhere.
  • A review of a booking from your invite says "Booked through the vendor's invite".

10. Ending this agreement

You can pause your listing or delete your account in the app at any time. Bookings already made still have to be provided or cancelled under their contracts. If you delete your account while you have upcoming bookings, the app tells you what happens to each one before you confirm: a booking cancelled because you deleted your account is refunded to the client in full, as if you had cancelled it, but it isn't on your record. We may suspend or remove a listing that breaks this agreement or the Terms of Service, and the app tells you why (section 7). Sections 6 and 8 keep applying to bookings and money from before this agreement ended.

11. Changes

When we publish a new version of this agreement, the app asks you to accept it, and you can't answer new requests or make new offers until you do. A booking keeps the version that was in effect when you signed its offer (section 3), and the new version applies to offers you make after you accept it. A change in meaning is always a new version.
